2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that:

• You are legally capable of entering into binding contracts under applicable law.
• You are authorized to act on behalf of any business, organization, or entity you represent.
• Your use of the Services complies with all applicable laws and regulations.

Luneox reserves the right to suspend or terminate accounts that violate eligibility requirements.

3. Description of Services

The Luneox Business Suite is a family of AI-powered, agentic products that may provide AI-generated text, images, and video; marketing and social media automation and scheduling; financial tracking and audit-ready documentation; agentic task management; multi-platform integrations; AI-driven analytics and performance insights; autonomous workflows; team collaboration; and brand management tools.

Luneox may use autonomous, agentic, generative AI, machine learning, and third-party technologies to provide the Services. Features and functionality may evolve, change, or be discontinued at any time.

4. User Accounts

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity conducted under your account
• Ensuring connected third-party accounts are authorized
• Maintaining accurate account information

You agree not to:

• Share accounts without authorization
• Access accounts belonging to others
• Attempt unauthorized access to systems or APIs
• Use automated tools to exploit the platform

Luneox may suspend or terminate accounts at its sole discretion.

5. Third-Party Integrations

The Services may integrate with third-party platforms including but not limited to Instagram, Facebook, LinkedIn, X (Twitter), Threads, YouTube, TikTok, Medium, Google services, payment gateways, cloud providers, and analytics platforms. Your use of third-party platforms remains subject to their respective terms and policies.

Luneox is not responsible for:

• API limitations and platform restrictions
• Third-party outages and account suspensions
• Changes in platform policies or algorithms
• Content reach fluctuations

You authorize Luneox to access and process connected accounts solely for providing the Services.

6. AI-Generated Content Disclaimer

The Services use artificial intelligence and autonomous systems to generate content, recommendations, insights, and automations. You acknowledge and agree that:

• AI-generated content may contain inaccuracies, errors, omissions, or unintended outputs.
• AI-generated outputs may not always be unique.
• You are solely responsible for reviewing and approving all content before publication or use.
• Luneox does not guarantee engagement, reach, sales, virality, conversions, or business outcomes.
• Luneox is not liable for reputational, legal, financial, or platform-related consequences resulting from generated content.

7. User Content

Users may upload or provide images, videos, logos, trademarks, brand assets, text, account credentials, campaign materials, and other content. You retain ownership of your uploaded content. By uploading content, you grant Luneox a non-exclusive, worldwide, limited license to process, store, modify for Service functionality, generate AI outputs from, and publish content based on your instructions, and to improve workflows and automation systems.

You represent and warrant that:

• You own or are authorized to use uploaded materials.
• Uploaded content does not infringe intellectual property rights.
• Uploaded content complies with applicable laws.

Luneox reserves the right to remove content violating these Terms.

8. Prohibited Uses

You agree not to use the Services for:

• Illegal or fraudulent activities
• Hate speech, harassment, violence, or threats
• Adult, explicit, terrorist, or extremist content
• Political manipulation or deceptive campaigns
• Spam or misleading advertising
• Copyright or trademark infringement
• Malware distribution or unauthorized scraping
• Platform abuse or impersonation
• Reverse engineering, AI model extraction, or prompt extraction attacks
• Unauthorized automation

Luneox may immediately suspend accounts involved in prohibited activities.

9. Intellectual Property

All rights, title, and interest in the Services, including software, AI systems, engines, branding, logos, workflows, interfaces, algorithms, models, APIs, designs, and documentation, remain the exclusive property of Luneox Private Limited and its licensors.

You may not:

• Copy or reproduce the Services
• Reverse engineer the platform
• Extract prompts or system logic
• Create competing products using the Services
• Resell or sublicense the Services without authorization

10. Subscription Plans and Billing

Luneox may offer monthly, annual, enterprise, or custom subscription plans. Pricing may vary based on licenses, usage limits, features, content generation volume, and enterprise requirements. By subscribing, you agree that billing may recur automatically until canceled, taxes may apply, failure to pay may result in suspension or termination, and pricing and features may change at any time.

11. Refund Policy

Except where required under applicable law:

• Payments are non-refundable.
• Consumed credits, generated assets, processed workflows, or utilized subscription periods are non-refundable.
• Refunds, if applicable, may be prorated based on unused portions solely at Luneox's discretion or where legally required.

Enterprise agreements may contain separate commercial terms.

12. Suspension and Termination

Luneox may suspend, restrict, or terminate access immediately for non-payment, policy violations, abuse or misuse, illegal activities, security risks, fraudulent activity, platform exploitation, or harmful or disruptive conduct. Upon termination, access may be revoked immediately, generated content and stored data may be deleted, and active subscriptions may be canceled. Certain provisions of these Terms survive termination.

13. Data Processing and Privacy

Luneox may collect and process names, email addresses, account tokens, uploaded content, analytics data, usage information, device and browser data, and billing information through cloud infrastructure, third-party APIs, storage providers, analytics providers, and AI infrastructure providers. Data may be stored or processed outside India where required for Service delivery. Use of the Services is also governed by the Privacy Policy.

14. Availability and Service Limitations

Luneox does not guarantee uninterrupted or error-free operation. Services may be affected by third-party outages, API limitations, platform restrictions, maintenance, internet disruptions, AI model availability, and infrastructure failures. Features may be modified, paused, or discontinued without prior notice.

15. Limitation of Liability

To the maximum extent permitted by law, Luneox Private Limited and its affiliates shall not be liable for indirect, incidental, or consequential damages; loss of profits, data, or reputation; business interruption; platform bans or suspensions; AI-generated inaccuracies; content performance outcomes; or third-party platform actions. Luneox's total liability shall not exceed the amount paid by you for the Services during the preceding three (3) months.

16. Indemnification

You agree to indemnify and hold harmless Luneox Private Limited, its directors, employees, affiliates, and partners from any claims, damages, liabilities, losses, or expenses arising from your use of the Services, violation of these Terms, uploaded content, intellectual property disputes, third-party claims, or regulatory violations.

17. Enterprise Services

Enterprise customers may receive dedicated support, relationship managers, custom workflows, additional integrations, and separate commercial agreements. Where enterprise agreements conflict with these Terms, the enterprise agreement shall prevail for the applicable customer.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to arbitration provisions, courts located in Hyderabad, Telangana shall have exclusive jurisdiction.

19. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably. If unresolved, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Hyderabad, Telangana, India; the language shall be English; and proceedings shall remain confidential.

20. Changes to Terms

Luneox reserves the right to modify these Terms at any time. Updated Terms become effective upon publication on the website. Continued use of the Services after updates constitutes acceptance of the revised Terms.

21. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms constitute the complete agreement between you and Luneox Private Limited regarding the Services and supersede any prior agreements, understandings, representations, or communications relating to the Services.

23. Force Majeure

Luneox shall not be liable for any delay, interruption, or failure to perform resulting from events beyond reasonable control, including natural disasters, internet outages, government actions, cyberattacks, labor disputes, infrastructure failures, third-party platform outages, AI provider disruptions, and cloud service failures.

24. Electronic Communications

By using the Services, you consent to receiving electronic communications from Luneox including account notifications, billing communications, legal notices, product updates, security alerts, and marketing communications (where permitted). Electronic communications satisfy any legal requirement that communications be in writing.

25. Beta Features and Experimental Services

Luneox may provide beta, experimental, preview, or early-access features. Such features may contain bugs or inaccuracies, may change without notice, may be discontinued at any time, are provided on an "as-is" basis, and may have limited support. Use of beta features is at your own risk.

26. Feedback and Suggestions

Any feedback, ideas, recommendations, or suggestions provided to Luneox may be used without restriction or compensation. You grant Luneox a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate feedback into the Services.

27. Security and Compliance

Users are responsible for maintaining secure credentials, restricting unauthorized access, ensuring lawful use of connected accounts, and reviewing generated content before publishing. Luneox may implement monitoring, fraud detection, abuse prevention, and security controls to protect the platform and its users.

28. Marketing and Publicity

Unless otherwise agreed in writing, Luneox may identify customers by name and logo for marketing, portfolio, case study, investor, or promotional purposes. Enterprise customers may request exclusion through written notice.

29. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent. Luneox may assign or transfer these Terms in connection with mergers, acquisitions, corporate restructuring, asset sales, or affiliate transfers.

30. Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of any rights.
